About These Terms

This document sets out the rules for using Myndfulness Labs Pvt Ltd ("Myndfulness Labs," "Company," "we," "our," "us")—including our website www.myndfulnesslabs.com, mobile apps, chatbots, and any digital interfaces (collectively, the "Platform"). It is published in accordance with the Information Technology Act, 2000 and the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021 (as amended).

The Platform is owned and operated by Myndfulness Labs Pvt Ltd, a company incorporated under the Companies Act, 2013, with its registered office at 3/320, Thendral Nagar, Surveyor Colony, Madurai 625007.

By accessing or using the Platform or any services offered through it (the "Services"), you agree to be bound by these Terms. If you do not agree, do not use the Platform.

Key Definitions

  • User / Client / you / your: Any natural person who visits the Platform, creates an account, or avails Services.
  • Expert: Qualified professionals (e.g., psychologists, psychiatrists, counselors, therapists, wellness practitioners) who provide services through the Platform.
  • Corporate Client / EAP Client: Organizations that procure Employee Assistance Programs or workplace wellness Services.
  • Content: Any text, audio, video, graphics, questionnaires, assessments, posts, messages, comments, files, or other materials available on or shared through the Platform, whether created by the Company, Experts, or Users.
  • Community Features: Forums, peer groups, group sessions, or other interactive areas on the Platform.

Nature & Scope of Services

Myndfulness Labs provides a technology platform that enables:

  • Therapy & Counseling: Individual, couple, family, child/adolescent, geriatric sessions delivered online (video/audio/chat) or in-person at designated locations.
  • Assessments & Self-Tests: Screenings, self-assessments, and progress trackers.
  • Workshops & Training: Webinars, group programs, structured courses, and workplace trainings.
  • EAP & Corporate Wellness: Confidential counseling for employees and anonymized, aggregated well-being insights to employers.
  • Self-Help Tools & Resources: Guided practices, handouts, curated content, newsletters.
  • Confidential Messaging: Secure communication channels with your Expert, in addition to scheduled sessions.
  • Community Initiatives: Group discussions, moderated forums, peer support, awareness programs.

We may add, modify, or discontinue any Service or feature at any time, with or without notice.

Not Emergency Care

The Platform is not intended for crisis intervention, emergency medicine, or hospitalization. If you are at immediate risk or facing an emergency, call 112 (India), contact KIRAN Helpline 1800-599-0019, the nearest hospital, or your local emergency number.

Legal Territory & Compliance

Services are primarily intended for users in India and are governed by the laws of India. If you access the Platform from outside India, you are responsible for compliance with local laws.

Acceptance, Eligibility & Capacity

  • Adults (18+): You confirm you are competent to contract under the Indian Contract Act, 1872.
  • Minors (<18): Use only with parent/guardian consent and supervision. We may require documentary proof of consent.
  • Corporate Users: Must be authorized to act on behalf of their organization.
  • We may deny, suspend, or terminate access if you provide false information, violate these Terms, or engage in prohibited conduct.

Account Registration, Accuracy & Security

To use certain Services, you must create an account and provide accurate, current, and complete information. You agree that you will:

  • Not impersonate another person or create multiple unauthorized accounts.
  • Keep credentials confidential and log out after each session.
  • Immediately notify us of any unauthorized access or suspected breach.
  • Keep your information updated at all times.

You are responsible for all activities that occur under your account.

Professional Relationship & Standards

At Myndfulness Labs, we believe in connecting you with qualified mental health professionals ("Experts") in the most secure and supportive way. Our role is to act as a facilitating platform, helping you access care through technology, scheduling, and communication tools.

Independent Practice of Experts

All counseling, therapy, and related services are delivered directly by the Experts. They exercise their own professional judgment in choosing the most suitable approach for you. Myndfulness Labs does not influence or interfere with their clinical decisions.

Our Role as a Connector

We provide the space and digital infrastructure for you to meet Experts, but the therapeutic relationship itself exists between you and the Expert. Think of us as a bridge—making it easier to find, connect, and continue your journey with the right support.

Credential Checks

We take care to verify the qualifications and professional details of Experts before they join the platform. However, as every journey is unique, we encourage clients to make informed choices about the professionals they feel most comfortable working with.

No Promises of Specific Outcomes

Mental health and well-being progress differently for everyone. While our Experts strive to provide the highest standard of care, outcomes may vary depending on individual needs, circumstances, and commitment to the process.

Reassurance of Standards

All Experts are encouraged to follow ethical codes and best practices relevant to their profession. We also provide clients the option to request a change of Expert if they feel another professional may be a better fit.

Limitation of Responsibility

To be transparent, Myndfulness Labs is not directly involved in therapy sessions and is not responsible for the professional conduct, advice, or outcomes of individual Experts. Our responsibility lies in maintaining a safe, confidential, and accessible platform to support your care.

Assessments, Content & Advice

  • Screening tools and questionnaires provide indicative insights and are not diagnostic by themselves.
  • Self-help content is educational and not a substitute for personalized professional advice.

Communications & DND Consent

By sharing your phone and email, you authorize service communications (onboarding, reminders, scheduling, support), even if registered on a Do Not Disturb (DND) list.

  • Promotional communications: You can opt out at any time (see Privacy Policy).
  • We may also send in-product notices and important policy updates.

Fees, Payments & Refunds

  • Pricing for sessions, programs, or subscriptions is shown prior to purchase.
  • Payments may be processed directly or via RBI-regulated payment gateways/aggregators (cards, UPI, net-banking, wallets).
  • Gateways handle your payment credentials per their own policies. We are not liable for gateway failures, declines, chargebacks, or fraud.
  • We may revise prices at any time; new prices apply prospectively.
  • Refunds & Cancellations are governed by our Refund & Cancellation Policy (incorporated by reference).

EAP (Workplace) Programs

  • Employees using EAP remain individual clients entitled to confidentiality.
  • Employers receive only aggregated, anonymized insights—never your personal clinical details.

Privacy, Confidentiality & Data

  • Our Privacy Policy explains how we collect, use, share, retain, and protect data (including health information), and your rights.
  • Therapy communications are confidential, subject to legal exceptions (imminent harm, court orders, mandatory reporting, emergencies).
  • We implement reasonable security measures but do not guarantee absolute security (internet risks persist).

Intellectual Property

The Platform, its software, design, trademarks, logos, text, graphics, videos, questionnaires, and all other proprietary materials are owned by or licensed to Myndfulness Labs.

You may not copy, adapt, publish, distribute, reverse engineer, or create derivative works without prior written consent.

User Content

You retain ownership of content you submit. By posting or uploading, you grant Myndfulness Labs a worldwide, non-exclusive, royalty-free, transferable, sublicensable, perpetual license to host, store, reproduce, adapt, publish, translate, distribute, publicly perform, and display such content for operating, improving, and promoting the Platform and Services (subject to the Privacy Policy for personal/health data).

Platform Use Rules (Dos & Don'ts)

You agree not to:

  • Post or share content that is unlawful, harmful, harassing, defamatory, obscene, hateful, incites violence, invades privacy, promotes self-harm, or exploits children.
  • Infringe intellectual property or disclose confidential information that you do not own or control.
  • Record or distribute therapy sessions without explicit, written consent of all participants (and in compliance with law).
  • Use bots, scrapers, exploits, malware, or attempt to gain unauthorized access to accounts, servers, or networks.
  • Overload, disrupt, or interfere with the Platform's integrity or others' use.
  • Misrepresent your identity or affiliation, or engage in fraud.
  • Conduct any activity threatening India's unity, integrity, defence, security, sovereignty, or public order.

We may monitor, moderate, edit, or remove content; restrict features; or suspend/terminate accounts for violations—at our sole discretion.

Content Moderation & Community Features

Community areas are semi-public by nature. Except for therapy communications, submissions in community spaces are not confidential. We may edit, copy, publish, or distribute community submissions for Platform operations and safety. We are not required to pre-screen or respond to posts. You are solely responsible for your submissions.

Third-Party Services, Links & Promotions

  • The Platform may link to or integrate third-party products/services (video conferencing, payments, analytics, cloud hosting). Each has its own terms and privacy policy. We are not responsible for third-party availability, accuracy, or conduct.
  • We may offer discounts or promotions at our discretion, with separate terms.
  • We may assign our rights/obligations under these Terms to an affiliate or a successor in interest; you will be informed where required by law.

Changes to the Platform & Terms

We may change, suspend, or discontinue any feature or Service and update these Terms at any time. Material changes will be notified on the Platform and/or via email/in-app notices. Continued use after changes constitutes acceptance.

Warranties & Disclaimers

To the fullest extent permitted by law, the Platform and Services are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including merchantability, fitness for a particular purpose, accuracy, and non-infringement.

We do not warrant: uninterrupted or error-free operation; that defects will be corrected; the accuracy or completeness of Content; or any specific therapeutic outcomes.

Limitation of Liability

To the maximum extent permitted by law, Myndfulness Labs, its directors, officers, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages; loss of profits, revenue, data, or goodwill; or service interruptions—even if advised of the possibility.

Our total aggregate liability for any claim shall not exceed the amount you paid to Myndfulness Labs for the specific Service giving rise to the claim.

Indemnity

You agree to indemnify, defend, and hold harmless Myndfulness Labs, its directors, officers, employees, agents, affiliates, and licensors from any claims, losses, liabilities, damages, costs, and expenses (including reasonable attorney’s fees) arising out of or related to:

  • Your breach of these Terms or applicable law.
  • Your Content, conduct, or misuse of the Platform.
  • Your violation of third-party rights.
  • Unauthorized recording/sharing of sessions by you.
XXI

Suspension, Deactivation & Termination

We may, with or without notice, restrict, suspend, deactivate, or terminate your account and remove content if we reasonably believe you violated these Terms, engaged in unlawful or harmful activity, or upon lawful request by authorities.

You may terminate by ceasing use and requesting account deletion (subject to dues and legal retention obligations). Provisions intended to survive termination (e.g., IP, confidentiality, payments, indemnity, limitations of liability, dispute resolution) shall survive.

Complaints, IPR Notices & Grievance Redressal

IP Infringement

Send a notice with (a) identification of the copyrighted work/mark, (b) the allegedly infringing material/URL, (c) your contact details, (d) a good-faith statement of unauthorized use, and (e) a statement of accuracy and authority, signed by you or your authorized agent.

Harmful/Unlawful Content Complaints

Include your contact details, relationship to the subject, description and URL of content, a good-faith statement of violation, and a statement of accuracy.

We aim to acknowledge complaints within 72 hours and resolve them within 30 days, per applicable law.

XXIII

Dispute Resolution, Governing Law & Jurisdiction

  • Parties shall first seek amicable resolution through good-faith discussions within 30 days of a written notice of dispute.
  • If unresolved, disputes shall be finally resolved by arbitration under the Arbitration and Conciliation Act, 1996 (as amended) by a sole arbitrator mutually appointed by the parties.
  • Seat & Venue of Arbitration: Madurai, India.
  • Language: English.
  • Governing Law: Laws of India.
  • Subject to arbitration, courts at Madurai, India shall have exclusive jurisdiction for interim and residual relief.
XXIV

Force Majeure

We are not liable for delays or failures due to events beyond our reasonable control (e.g., natural disasters, war, strikes, outages, regulatory actions, pandemics, or internet/telecom failures).

XXV

Assignment

You may not assign or transfer your rights/obligations without our prior written consent. We may assign to an affiliate, acquirer, or as part of a reorganization.

XXVI

Miscellaneous

  • Entire Agreement: These Terms, the Privacy Policy, Refund & Cancellation Policy, and any Service-specific terms form the entire agreement and supersede prior understandings.
  • Severability: If any provision is unlawful or unenforceable, it will be modified to the minimum extent necessary; remaining provisions remain in effect.
  • No Waiver: Failure to enforce a right is not a waiver.
  • Headings: For convenience only and do not affect interpretation.

All policies, terms, conditions, consents, and agreements, including those executed, accepted, or acknowledged through digital or electronic means, shall be deemed valid and enforceable under the provisions of the Information Technology Act, 2000, the Information Technology (Amendment) Act, 2008, and all applicable rules and notifications thereunder.

All digital records, electronic signatures, and communications generated or maintained by Myndfulness Labs shall have the same legal effect as physical documents and handwritten signatures, in accordance with the provisions of the said Acts.
